01What Alchemist Is (and Isn't)

Alchemist is a platform where users prove their stock-picking ability by submitting individual stock ideas with conviction-weighted scoring, benchmarked against the S&P 500. The Service includes Ideas, leaderboards, performance tracking, and analytics.

Important clarifications:

• •Alchemist Ideas use conviction-weighted scoring to measure stock-picking performance. No real money is invested or at risk in market positions.
• •Alchemist may award real cash prizes to top-performing participants based on published prize tiers. Prize amounts are set by Alchemist at its sole discretion and may change between periods. Prize availability is not guaranteed.
• •Any future capital allocation decisions are made at Alchemist's sole discretion.
• •Alchemist does not provide investment advice, brokerage services, or portfolio management to users.
• •Past performance, whether verified or simulated, does not guarantee future results.
• •This is an early-stage platform and features may change.

02Eligibility

You must be at least 18 years old and a legal resident of the United States to use Alchemist and submit ideas.

By using the Service, you confirm that:

• •You are at least 18 years old.
• •You are a US resident or legal US person.
• •You will provide accurate identity information. Alchemist may require identity verification before distributing prizes.
• •You are using the platform for lawful purposes.
• •You understand this is an early-stage platform.

Employees, contractors, and immediate family members of Alchemist Capital, LLC are not eligible for prizes.

03No Investment Advice (Seriously)

All content on Alchemist is for educational and informational purposes only.

Nothing on the platform is financial, legal, tax, or investment advice.

Alchemist is not a registered investment advisor, broker-dealer, exchange, or fund.

Any investment decisions you make outside the platform are entirely your own responsibility.

Idea performance results use conviction-weighted scoring and do not reflect real-world outcomes.

04Prizes and Payouts

Alchemist may offer real cash prizes to top-performing participants. The following terms apply to all prizes:

• •Prizes are awarded based on final rankings as determined by Alchemist.
• •Prize tiers (amounts per rank) are published before the scoring period begins.
• •Alchemist reserves the right to withhold prizes in cases of fraud, manipulation, or Terms violation.
• •Tax responsibility: Prize recipients are solely responsible for all applicable taxes on prize winnings. Alchemist may issue tax forms (e.g., 1099-MISC) as required by law for prizes exceeding applicable thresholds.
• •Prizes are non-transferable and have no cash alternative (Alchemist chooses the distribution method).
• •No purchase or payment is necessary to enter or win.
• •Void where prohibited by law.

05Fair Play and Disqualification

Alchemist reserves the right to disqualify participants and void prizes for:

• •Manipulating trades, positions, or rankings.
• •Using multiple accounts.
• •Colluding with other participants.
• •Exploiting platform bugs or errors.
• •Any other conduct Alchemist deems unfair or harmful to competition integrity.

Disqualification decisions are final and at Alchemist's sole discretion.

06Accounts

Some features require creating an account.

You agree to:

• •Provide accurate information.
• •Keep your login credentials secure.
• •Accept responsibility for activity under your account.

Alchemist is not responsible for losses or issues caused by unauthorized access to your account.

07Your Data and Content

You own the content you submit (portfolio data, profile info, etc.).

By submitting ideas or other content, you give Alchemist permission to analyze, display, and store your trading activity and performance data within the platform to provide the Service.

This license is non-exclusive, royalty-free, and limited solely to operating Alchemist.

You confirm that:

• •Your content does not violate laws or third-party rights.

08Things You Can't Do

Please don't:

• •Use Alchemist for illegal, deceptive, or fraudulent purposes.
• •Submit knowingly false or manipulative information.
• •Attempt to break, exploit, scrape, or reverse-engineer the platform.
• •Impersonate others or misrepresent who you are.

We may suspend or remove accounts that violate these rules to protect the integrity of the experiment.

09Data and Privacy

Your use of Alchemist is subject to our Privacy Policy.

If you sign in using Google or another third-party provider, we only access what's needed to operate the Service. We do not sell user data.

10Third-Party Services

Alchemist relies on third-party tools (e.g., hosting, authentication, analytics).

We're not responsible for their availability, their content, or their policies or practices.

11Ending Use of the Service

You can stop using Alchemist at any time.

We may suspend or terminate access if these Terms are violated, the Service needs to be modified, paused, or shut down, or legal or security concerns arise.

This is an experiment, and availability is not guaranteed.

12No Guarantees

Alchemist is provided "as is" and "as available."

We don't guarantee:

• •Accuracy of performance calculations or market data.
• •Capital allocation to any user, regardless of performance.
• •That prizes will be offered in every period, or any specific prize amount or availability.
• •Continuous uptime or uninterrupted access.
• •That the Service will meet your expectations.
• •That bugs, errors, or interruptions won't occur.

Alchemist may modify, suspend, or cancel any prize program at any time. Use the platform at your own discretion.

13Limitation of Liability

To the fullest extent allowed by law, Alchemist (and anyone affiliated with it) is not liable for any indirect, incidental, or consequential damages, lost profits, lost data, or perceived losses, decisions you make based on performance data, or reliance on platform content.

Liability for prizes is limited to the stated prize amount for that period. Alchemist is not liable for tax consequences of prize winnings.

Any future capital allocation decisions and terms are separate agreements between you and Alchemist. Alchemist Ideas use conviction-weighted scoring only.

14Indemnification

You agree to hold Alchemist harmless from claims or expenses arising from your misuse of the Service, your submitted content, or your violation of these Terms.

15Changes to These Terms

We may update these Terms as the experiment evolves. If changes are significant, we'll update the date and may notify Alchemists in-app. Continued use means acceptance of the updated Terms.

16Dispute Resolution and Arbitration

Binding arbitration: Any dispute arising from use of the Service or these Terms shall be resolved through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules.

Class action waiver: You agree to resolve disputes only on an individual basis and waive any right to participate in class actions, class arbitrations, or representative proceedings.

Small claims exception: Either party may bring claims in small claims court if eligible.

Governing law: These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

Opt-out: You may opt out of the arbitration provision within 30 days of creating your account by emailing legal@alchcap.com.

Injunctive relief: Alchemist may seek injunctive relief in any court of competent jurisdiction.
